Mergers and Acquisitions

We specialize in end-to-end M&A advisory for business owners buying or selling a company. Our mandate runs through every stage of the transaction, including preparing the business, identifying the right counterparty, negotiating terms and closing the deal.

Sell-side advisory

We prepare your company, approach local and international buyers and negotiate through closing, with you in charge of every decision.

Buy-side advisory

A buy-side mandate covers identifying companies that fit your strategy, including those not for sale, approaching them and leading the negotiation on your behalf.

The sale process

The groundwork for a successful sale is laid long before any buyer is approached. Our first priority is to define your objectives, whether an outright sale, a partial sale to a new partner or liquidity for a group of shareholders. With those objectives established, we conduct a valuation of the business, prepare the marketing materials and manage the process through closing.

Before going to market

We assess where the company stands in its market and establish a realistic valuation range. We then align with you on the right exit path and the type of buyer to pursue.

Structured and confidential outreach

A well-run sale moves through clearly defined stages, so you know where the process stands at every point. We present the opportunity confidentially to a curated group of local and international buyers, strategic and financial, each chosen for its fit with the company.

Your team's role

Selling a company demands time and attention while the business still has to perform. For that reason, we limit the working group to key personnel and call on their time only when the process requires it. Their main contribution is to ensure that buyer information requests are answered accurately and on time.

Negotiation and closing

Once offers are received, we lead the negotiation of price, structure and terms, at the level of involvement you prefer. We then coordinate confirmatory due diligence and the definitive agreements with your legal and accounting advisors and any subject matter specialists the transaction requires. Our involvement continues until the transaction closes.

The acquisition process

An acquisition can deliver inorganic growth, open new markets or add new lines of business. Every search begins with a clearly defined strategic objective, which in turn sets the target profile and the scope of the process. Okami then identifies the candidates that match that profile, opens discussions with their owners and leads the negotiation through closing.

Target screening

Working from the agreed target profile, the search maps the sector and narrows the field to the candidates with the strongest strategic fit. Each of those companies is then approached through the right contact, securing direct access to the decision-maker.

Target evaluation

Each candidate is evaluated on its financials, operations, market position and risks, along with the synergies it would bring to your business. That analysis gives you a sound basis for deciding whether to proceed and on what terms.

Price and offer structure

A viable offer starts with a fair price for the target, established through independent financial analysis. The transaction structure comes next, with our advice on the amount and form of consideration, timing and any additional protections.

Due diligence, negotiation and closing

Due diligence is coordinated with your legal and accounting advisors to confirm the information provided and the condition of the business. Its findings often shape the final negotiation, which we lead on your behalf through closing.
